Microsoft 'fixed' it. Whether that meant shipping me a new one or *actually* fixing it, I'm not sure. It took at least a couple of weeks to come back to me, though. If I hadn't decided to buy the Elite and give the fixed xbox to my brother when I finally got it back, I'd have gone spare.
If it only happens with GTA, it might not be the same issue for you, though.
Try some other CPU/graphics intensive game and see if that freezes too. It was happening quite a bit with Splinter Cell: DA on mine.
When mine froze, the screen went blank with random binary patterns all over it. Also, some of the time it showed the red lights, but a reboot got it working again. It was only on Halo3 day that reboots stopped working.
